1. Acceptance of Terms

By accessing or using the Basepoint platform ("Service"), operated by Basepoint Inc. ("Basepoint," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Basepoint provides a software platform for energy development, including site prospecting, financial modeling, document management, interconnection tracking, and related tools. The Service is provided on a subscription basis.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to the Service, other accounts, or related systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit malware, spam, or other harmful content.
• Resell, sublicense, or redistribute access to the Service without our written consent.

5. Subscription and Payment

Access to the Service requires a paid subscription. Fees are billed in advance on a monthly or annual basis as selected during sign-up. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice.

6. Your Data

You retain all rights to the data you upload to the Service ("Your Data"). You grant Basepoint a limited license to process Your Data solely to provide and improve the Service. We will not sell Your Data to third parties. See our Privacy Policy for more details.

7. Intellectual Property

The Service, including all software, designs, text, and other materials, is owned by Basepoint and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service during your subscription term.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors beyond our reasonable control.

10. Limitation of Liability

To the maximum extent permitted by law, Basepoint's total liability for any claims arising from or related to the Service shall not exceed the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold Basepoint harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate a subscription at the end of the current billing period. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases and we may delete Your Data after a 30-day grace period.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Delaware.
